CARE WEBSITES PRIVATE LIMITED (hereinafter referred to as the 'Transferor Company No. 8') (collectively as 'Transferor Companies') with IVIIS. ibnl8 BROADCAST LIMITED (hereinafter referred to as the 'Transferee Company No. 1') and MIS. NETWORK18 MEDIA & INVESTMENTS LIMITED (hereinafter referred to as the 'Transferee Company No. 2') (collectively as 'Transferee Companies') The registered offices of the Transferor Companies and Transferee Companies are situated at New Delhi, within the jurisdiction of this Court. The Transferor Company No.1 was incorporated on 24 h September, 1993 under the provisions of the Act with the Registrar of Companies, NCT of Delhi and Haryana with the name and style as 'Television Eighteen India Private Limited'. The name of the Co. Pet.41/2011 Page2of23 company was changed to its present name i.e. 'Television Eighteen India Limited' on 2nd January, 1995. The Transferor Company No.2 was incorporated on 10th July, 2006 under the provisions of the Act with the Registrar of Companies, NCT of Delhi and Haryana. The Transferor Company No.3 was incorporated on 8th April, 2004 under the provisions of the Act as private limited company in the name and style as Jagran TV Private Limited. The name of the company was changed to IBN1 8 Media, and Software Private Limited on 15th May, 2009. Subsequently, w.e.f. 17th June, 2009, it became a public limited company and was named as IBN1 8 Media and Software Limited. The Transferor Company No.4 was incorporated on 281h August, 2000 under the provisions of the Act as a private limited company under the name and style as iNews.com Private Limited. However, it became a deemed public company with effect from 6th September, 2000 and the name of the company was changed to its present name i.e. iNews.com Limited. Co. Pet.41/201 I 7. The Transferor Company No.5 was incorporated on 171h March, 1997 under the provisions of the Act with the Registrar of Compani.. NCT of Delhi and Haryana with the name and style as 'Eighteen Entertainment India Limited'. The name of the company was changed to its present name i.e. 'Television Eighteen Commoditiescontrol.corn Limited' on 27 th May, 2005. The Transferor Company No.6 was incorporated on 91h July, • 2006 under the provisions of the Act. The Transferor Cornpaiy No.7 was incorporated on 13th August, 2007 under the provisions of the Act with the Registrar of Companies, NCT of Delhi and Haryana.
